Terms

Terms of service

The rules for using this site, applying, booking a call and buying a Bill Teardown. Written in plain English on purpose. If anything is unclear, email adrian@hadriasystems.com and ask.

Last updated: not yet in effect.

Who we are

Hadria Systems is run by [Company legal name: not set], [Postal address: not set]. In these terms, "we" and "us" mean [Company legal name: not set]. "You" means the person using this site and, if you apply or buy for a company, that company too.

By using this site, applying, booking a call or buying a teardown, you agree to these terms and to our privacy policy.

Using this site

  • The site explains what we do. It's general information, not legal, tax or financial advice.
  • Vendor prices on the site come from each vendor's public pricing page, shown with the source and the date we checked. Vendors change prices. Check the source before you rely on a number.
  • Figures marked "our math" are our own arithmetic on those public prices, not quotes from the vendor.
  • Any sample readout on the site describes a fictional company and is labeled that way.
  • Don't misuse the site: no attempts to break in or overload it, no bulk scraping, no fake applications, and no applying with someone else's details.
  • Vendor and product names belong to their owners. We use them only to name the products we're talking about. This site is not part of or endorsed by Meta, Google or any vendor we mention.

The application and the calls

  • The application takes about two minutes. Your answers save as you go, so we may keep what you typed even if you don't finish.
  • Give true answers. If you apply for a company, you confirm you're allowed to share what you tell us.
  • Applying doesn't commit you or us to anything. A person reads every application. We may decline any of them, or point you to the free Renewal Playbook instead of a call.
  • The scoping call is free: 30 minutes on Google Meet with Adrian. There's no obligation to buy anything.
  • We may call the mobile number you gave to confirm your booking. A person makes that call. We don't make automated or AI voice calls.
  • You can reschedule or cancel with the link in your confirmation. There's no fee or penalty.
  • We don't record calls unless we ask first and everyone on the call agrees.
  • We won't ask you to log us into any tool, and we won't contact your vendor.

The Bill Teardown

The Bill Teardown is our paid first step. These terms apply to it together with the order form you sign. If the two disagree, the signed order form wins.

Price$7,500 in US dollars, paid in full before kickoff. Taxes, if any apply, are extra.
ScopeOne line on your bill at one company: one tool or AI service, or one bundle of related tools billed together.
TimelineAbout 2 weeks. We set the readout date in writing at kickoff. If the data you're sending arrives late, the date moves by the same amount.
What you sendThe last 3 invoices for that line, a 12-month usage export, the order form or MSA, the vendor's written renewal quote (we give you a template to request it), notice dates, integrations, and who owns the tool. You decide what to send.
What you getThe cheapest route for that line (renegotiate, switch, or build and run your own version), with the 36-month cost of each route. A clause check of your contract: notice, auto-renew, price-increase cap, data export and anti-competition terms. A fixed quote for the route you choose, valid 21 days. The benchmark pack, which you keep either way.
CreditIf you sign a build with us on the teardown's quote, the full teardown fee is credited against the build. The credit applies to a build only. It isn't credited against fees for renegotiating or switching.
PaymentArranged directly with us after you confirm the order. The teardown starts once payment is received.

The clause check is a business read of your contract to plan the route. It isn't legal advice. Have your own counsel review anything you act on.

Refunds

Three rules. That's the whole policy.

  1. Cancel before we receive your data: full refund. Email adrian@hadriasystems.com to cancel.
  2. Readout more than 5 business days late through our fault: full refund. "Late" means past the readout date we set in writing at kickoff.
  3. After your data arrives: the fee is non-refundable, and you keep everything we've produced.

Refunds go back to the payment method you used.

No guarantee of savings

  • "Half or less" is a target, not a promise. The teardown is how we test it for your line.
  • If your line can't get to half or less, the readout says so, and you keep the benchmark.
  • The fee pays for the work. It doesn't depend on what the teardown finds.
  • Vendor prices, what a vendor will concede, and your own usage are outside our control. Every figure in a readout is an estimate built from what you send and from public prices on the date we checked them.
  • What one line can reach says nothing about another line, or another company.
  • Decisions you make with the readout, such as renewing, switching or giving notice, are yours.

Confidentiality and your data

  • We sign a mutual NDA before you send anything. We'll sign yours, or you can use ours.
  • We work clean-room: only from the exports and documents you choose to send. We never log into your vendor's app, and we never contact your vendor without your written OK.
  • We use what you send only for the teardown and for any work you hire us to do after it.
  • You confirm you're allowed to share what you send. Some vendor contracts limit what you can share. Check yours, or ask us to flag it during the clause check.
  • When the work ends, we delete or return your files as the NDA says.
  • How we handle personal information is in our privacy policy.

Text messages (SMS)

What you getHadria Systems booking texts: confirmation of your call, reminders, the meeting link, reschedule links, and replies to texts you send us. No marketing texts.
ConsentOnly if you tick the box on the application. It's unticked by default, it's optional, and it isn't a condition of buying anything. Ticking it means you agree to these texts at the number you gave, including texts sent automatically.
How oftenMessage frequency varies with your booking. Usually a few texts per booked call.
CostMessage and data rates may apply. Check with your carrier.
StopReply STOP to any text. We'll send one text to confirm, then nothing more. You can also email adrian@hadriasystems.com.
HelpReply HELP to any text, or email adrian@hadriasystems.com.
CarriersCarriers aren't liable for delayed or undelivered messages.

Some booking texts may come by hand from Adrian's phone. The same rules apply: reply STOP and they stop.

We never share your SMS opt-in or consent with anyone. More in our privacy policy.

Email

  • When you apply, you agree to emails about your application and any call you book.
  • If we send you the Renewal Playbook, we may follow up with a short series of emails and the renewal reminders you ask for.
  • Every marketing email carries an unsubscribe link and our postal address. Unsubscribing doesn't stop emails you need about a booking or an order.

Builds and other work

Work after a teardown (renegotiating, switching, or building and running your own version) runs under a separate written agreement. That agreement covers price, ownership, service levels and liability for that work. These terms don't.

If we build, that agreement assigns you the custom code we write for you.

Who owns what

  • Your data stays yours.
  • The readout and the benchmark pack are yours to use inside your company, including with your vendor, your board and your advisers. Please don't republish or resell them.
  • This site, and our methods, templates and reusable tools, stay ours. You can link to the site and quote short parts with credit.

Disclaimers and limits

  • The site is provided "as is." We work to keep it accurate and running, but we don't promise it's error-free or always available.
  • To the extent the law allows, we aren't liable for indirect or consequential losses, such as lost profits, lost savings or lost data.
  • To the extent the law allows, our total liability under these terms is limited to the fees you paid us under them.
  • Nothing here limits any liability that the law doesn't allow us to limit.

Governing law and disputes

These terms are governed by the laws of [Governing law: to be set by counsel]. Disputes go to the courts of [Venue: to be set by counsel].

Before anything formal, email us. Most problems get sorted faster that way.

Changes and contact

We may update these terms. When we do, the date at the top changes. A change never affects a teardown you've already paid for.
